Abstract


The coal enterprises merger and regrouping, started at the year of 2009, is the single most historic economical events in the past 10 yeas of Shanxi province. The related assets assessment of government of all levels is a highly skilled job. It’s critical to coordinate the interests of all parties involved. This thesis tries to provide some useful legal advices by studying the legal issues that may occur during the assets assessment of the coal enterprises merger and regrouping.This thesis consists of 3 parts which are introduction, text and conclusion. The text is divided into 4 parts:Part one:"Merger and reorganization of coal mining enterprises of the basic aspects of asset valuation" Asset evaluation is a serious legal action, in this merger and reorganization, the assets of all aspects of the assessment should strictly follow the statutory procedures, conduct scientific and rational assessment of the results of asset evaluation to ensure that real, credible, to provide for the parties to the transaction Fair value of the reference.Part two:Shanxi coal mining enterprises assets assessment of m&a situation and problems.On the whole the assets assessment of m&a and summarizes the present situation, and chose the asset appraisal of the takeover in coal mine expenses investments, should compensate included several controversial assessment, and the bigger question any assessment results of frequently occurred, these problems affecting the m&a is progressing smoothly.Part three:The analysis on the legal issues of the assets assessment of the coal enterprises merger and regrouping. Existing in the process of assets evaluation of several evaluation scope compensation should into the controversial problems and practice how to compensate, and to evaluate the reason of any detailed analysis.Part four:To improve the coal mining enterprises m&a assets assessment of legal advice. Asset appraisal work exposed in the legal problems, Suggestions related departments and related subjects should through the perfect system, system and strengthen internal procedures way to solve.
