Abstract


Mergers and acquisitions since 1990 , China 's first stock exchange - the Shanghai Stock Exchange was officially established , listed companies that is gradually emerging and developed rapidly , because of the mergers and acquisitions of listed companies is not more native experience , learn from the experience of Western countries, but also in the gradual improvement of China 's laws and regulations , but there are still a lot of problems . In this paper, empirical analysis , comparative analysis of the law and social survey method , expounded the theory of the mergers and acquisitions of listed companies , the merger and reorganization of China 's listed companies exist in practice , and under the conditions of market economy , China the development status of the mergers and acquisitions of listed companies and the laws and regulations regulatory status quo , for mergers and acquisitions of listed companies on the legislative necessity operability necessary to arrive at our uniform legislation on mergers and acquisitions of listed companies , that there should be a Ministry of the People's Republic of China listed Company Merger and Reorganization Act. \Through this study , the theoretical study of the merger and reorganization of listed companies in China to play a certain role .
