Abstract


Based on the strategic point of view of building a sound multi-level capital market, this paper explores and researches on the issues of constructing a national over-the-counter market. In preference to the successful experience of the mature countries and regions in the international OTC market, and combining with the actual situation of China’s capital market development, this paper proposes an innovative way to construct a double progressive unified national OTC market based on the Zhongguancun hi-tech shares exchange system and Tianjin Equity Exchange. The paper points out that, China’s OTC market construction has been faced with historical juncture, accelerating the construction of a unified national OTC market is the urgent needs of the new era of China’s economic development mode shift and economic restructuring, and China has already owned the capability to accelerate the construction of the OTC market, which has a special significance of building a multi-level structure of the capital market. It is a feasible and necessary way to be based on the Zhongguancun share transfer system(new third board) and Tianjin Equity Exchange, based on clearing "2+" double progressive national OTC market building platform, thus forming the Zhongguancun hi-tech share transfer system and Tianjin Equity Exchange, a national centralized OTC market and the regional, local dispersion of local property rights exchange market, and establish the multi-level structure of the OTC market. Determine the corporate organizational structure development trends, Tianjin Equity Exchange as a platform for active exploration, and national over-the-counter market, the diversification of the membership-based organization structure as a start, the gradual reform and development of the national field of the organizational structure of the corporate system outside the market, conform to the world’s mature capital market system, and gradually developed a market maker trading system, the single auction system, the agreement pricing and trading system is the combination of the hybrid market maker trading system.
