Abstract


The object of this paper is the system of insider in China. China’s securities market has a very short history, and lack of theoretical and practical experience, so many people break the law, such as insider trading. If we want to punish the insider trading, we must study and analysis it. Insider plays an important role in the insider trading. This paper analysis the insider of china’s securities market and try to find out its weaknesses, then to find some solutions to deal with it.The research methods of this paper include documentary analysis and comparative analysis. On the basis of the analysis, author proposes some solutions against the weaknesses: is a person who obtains insider information occasionally insider? We should improve the classification of the insider; what conditions need to meet when tippee has to take responsible for the insider trading?This paper consists of three parts. The first part is introduction, the author raises three legal issues of insider by a case; in the second part, the author analysis three issues and the third part, the author raises some proposals about the three issues and some other questions.This paper intends to explore some practical issues of insider. This research examines the foreign regulations, insider trading theory and the present insider trading regulations in our country, so as to furnish a tentative proposition for further improvement.
