Abstract


With the development of market economy， the mergers and acquisitions of privateenterprises are more and more， and in recent years has made some achievements. Butbecause China’s capital market is not perfect， acquisition financing of private enterprisesstill exist many problems. The M&A financing is the core of enterprise’s capitaloperation mode， and financing is one of M&A’s key problems， so this article presentsa study of Chinese private enterprise’s M&A financing. This paper introduces the theoryof M&A financing， and based on the theory， firstly analyzes the status quo of M&Afinancing of private enterprises， and then analyzes the problems that exist in privateenterprises， afterwards proposes some suggestions about M&A financing of China’sprivate enterprises. Finally， through case studies， describes the problems of China’sprivate enterprises and draws revelation.Based on the above ideas， this paper is organized as follows: Firstly， makes noteson the research background， research significance and research purposes， alsointroduces the domestic and foreign research achievements on mergers and acquisitions，and the research idea， the main content and innovation have also been described.Secondly， defines the related concepts of mergers and acquisitions financing， and alsointroduces the theory of mergers and acquisitions financing. Thirdly， studies the status ofChinese private enterprises’ mergers and acquisitions financing， and then analyzes thecurrent problems existing in Chinese private enterprises. After this， studies on theproblems both from external and internal angles. Forth， analyzes both experiences andlessons through the M&A process of Delong and the New Hope Group， from bothpositive and negative aspects， and draws inspiration on the Chinese private enterprises.Finally， puts forward suggestions to solute the problems for private enterprise in China，both from external and internal angles.
