Non-equity entry mode, which can be used in a more flexible and independent way and which also can both reduce the cost and the risks, becomes one of the most popular investment modes all over the world. Because of the strong power and special background, large state-owned enterprises are the main body of our countries Go Out policy, which will surely be the main body of China’s non-equity entry mode trials. Author studies on what factors mainly influence the large state-owned enterprises when they make a choice among non-equity entry mode and how to choose the most suitable way for Chinese companies’future overseas investment.The first part makes a brief introduction on how is non-equity entry mode now developing outside and inside our country and also show people a bright future of non-equity entry mode. The second part does some analysis on different type of non-equity entry mode, as well as some comparison was made. The third part holds the opinion that the industry of the investment, the part of the value chain, the whole enterprise blue print to their development and the atmosphere of the investment in both cooperation countries are the main influencing factors when they make a decision. According to the view, the forth part tries to build an index system which can tell what the main influencing factors are and how the factors work. In the last part, author makes several suggestions to the future development.
