Abstract


The Party's 17th National Congress of economic reform onto a new level , China's economic reform has entered the stage of modern enterprise property right system reform , truly entered a substantive stage of the reform , enterprise restructuring are all involved in the credit and debt problems . But there are all kinds of credit and debt in the restructuring of enterprises adverse disposal phenomenon . The one hand, resulting in the restructuring of enterprises suffer, adverse impact on the other hand, the reform of state-owned assets management system or the establishment of a modern enterprise system . This paper first studied the relevant laws and regulations of corporate restructuring . Secondly, the Current Situation and Reasons of state-owned credit and debt . The main liabilities of the status quo of China's state-owned enterprises the corporate balance rate, there is a large number of non-performing loans and hidden losses factors , non-operating liabilities widespread . Liability causes both institutional reasons, there are reasons mechanism ; existing historical reasons , there are also practical reasons . Once again, the corporate restructuring when dealing with credit and debt problems and causes were dissected and analyzed . Security interest in the protection of the rights of creditors in the restructuring of state - owned enterprises there is a problem , various interests drive corporate evasion of financial debt , the debt for the phenomenon of avoiding the debt , dispose of non-standard claims . Fourth, the processing enterprise restructuring of debts and claims put forward seven recommendations , a useful discussion regulating the disposal of corporate restructuring debts and liabilities .
