20th century since the 80’s, there was a trend in international technology, many enterprises started to pay attention to the importance of external resources in the process of technological innovation, rising a wave of strategic alliances in the business. Enterprise and External organization establishes a partnership, sharing of resources and strengths, achieving technological innovation, that is, cooperative innovation. While strategic alliances have been widely used, but the strategy will be affected by various factors and collapsed finally, the uncertainty and failure rate of strategic alliances is much higher than a single company. And the risk of intellectual property protection is one of important part. Therefore, it is necessary to further research the risk of intellectual property protection, to proven its important role of strategic alliances.There are a lot of literatures about strategic alliance, but many of them are the static studies. And there are a few of scholars study the process of alliance evolution. Strategic alliance has it own life-cycle, just like any other organizations. With the change of alliance environment, the characters of alliance partners and the relationships between them will develop in the stage.Based on the research of cooperative innovation in strategic alliances, focused on the issue of intellectual property risks, this paper put forward the important factors of strategic alliance, intellectual property risks, which lead to instability even failure of a strategic alliance. From the angle of life cycle of strategic alliances, strategic alliance is divided into four stages, that is, the introducing stage, forming stage, operating stage, achievements forming stage. At the same time, this paper analyses the intellectual property risks of different stages, and brings forward the corresponding measures about preventing intellectual property risks.
