Abstract


The operator’s compensation system is directly related to the solution of agency problem, which is produced in the separation of ownership and management.Therefore, both theoretical and practical circles all over the world attach great importance to both in the research and practice fields. Reasonable compensation incentive system could regulate the operator’s behaviors and it is the core of effective corporation legal body management structure which is one of the key issues in the reform and development of Chinese state-owned enterprises.In our country the operator’s compensation is composed of regular salary,grey staff-consumption and obscure income which is very unreasonable.This kind of system couldn’t produce inspiration function,by contrast,it leads to operator’s behavior alienation and serious brain drain phenomenon,affecting corporations’management state and competitiveness.Firstly, this paper analyzes comprehensively and systematicly the influencing factors about the operator’s compensation system in Chinese listed companies which concludes ownership structure, administering situation, enterprise operating conditions and other factors. And based on this study, the thesis constructs a measurement index system about influencing factors of operator’s compensation system, exploring effective operator’s compensation system in Chinese listed companies in different circumstances. Then, this paper put forwards the design principles and patterns for the listed company’s compensation system, and analyzes its incentive effect by applying empirical research method. And the result indicates:company operation performance is the most important factor to the compensation system; ownership structure influnce share proportion of management strongly; corporation scale and its economic regions have significant effect on the operator’s salary and its share proportion; the operator’s salary and its share proportion are positively correlated with company operation performanc significantly.Finally, this paper gives some suggestions on the improvement of the operator’s compensation system:firstly, regulating government behavior; secondly,perfecting policies and regulations,accelerate legality proceedings;thirdly, establishing and perfecting corporation harness structure in public company; finally,developing and regulating operator market and securities market to make markets to play a basic role in optimizing resources allocation.
