Abstract


The corporation law of PRC has not only established the legal forms of the one member company, but also laid some ground rules for the disregard of corporate personality.Compared to common company, one company’s personality can be more easily abused by its only shareholders, which therefore making the use of disregard of corporate personality system more and more urgent. In china, the disregard of corporate personality is often achieved by the forms of action.Firstly,this paper makes brief analysis on the disregard of corporate personality system and its realization, recognizes that it is more applicable in the circumstances of one member company to protect interests of creditors. Then comparative analysis approach will be applied dealing with some actual issues in the disregard of corporate personality system,and also some conclusions will be made.In the end illustrations about disregard of one member company personality in the development of civil suit will be expounded.Through the research of disregard of one member company personality, this paper makes some analysis on the relevant issue in practice.Hopefully, this paper will make some contributions to such litigation judicial practice.
