Intellectual property, which is some kind of new asset, applied by more and more enterprises to achieve comparison advantage in the market. To follow the tendency, the modified corporation law include the whole IPR into the fortune to establishing corporations and reduce the limit of it in corporate assets,which increase the influence of IPR assets in the company. So during the investment, lots of aspects should be concerned.At first, fundamentals of IPR investment are listed and some subjects of IPR investment are introduced(Patent, Trademark, Copyright, Trade Secret). The essay put focus on the essential part in the legislation problems on evaluation progress about each subjects. Then discussed the formation of risks which is the major restriction on the capitalization. Therefore it analyses the causes from the characteristics of the IPR and classifies the types of hazards., there are risks by IPR itself (value instablity, vulnerable to infringement, time-space constraints), risks by special legal arrangement (unstable rights, complex transactions) and risks by ownership defects. In order to enforce the investment, the control of risks are strongly needed. According to time axis, alarm in advance, protection at issue and remedy afterwards are discussed. Through the analysis above, some suggestions are proposed at the end to make some contribution to the promotion and improvement of legal system of IPR investment. It’s elaborated on main requests, procedures, evluations and legal liabilities.
