Abstract


Director of self-dealing is a transaction between himself or with the directors of the operating entity , directly or indirectly , in which significant property interests of the directors of the company with directors . It includes transactions between the transactions between the company and the directors of the transactions between the company and directors have an interest in other natural persons , as well as the company and its directors have significant economic interests in which economic entities . Directors self-dealing is a complex economic phenomenon , widely found in the company's operations in various countries . Self-dealing on the one hand can help companies to maximize profits , the other hand , there are conflicts of interest in the transaction as the directors can easily order their own personal interests and harm the interests of the company . Therefore need to regulate self-dealing of directors , the positive role of self-dealing company , and to avoid adverse impact on the company . Countries and regions such as the United Kingdom , the United States , France , Japan , South Korea and all of the directors of self-dealing provisions , even though they are different from the specific provisions of the self-dealing . These countries the majority of self-dealing is generally not prohibited , most of the provisions for self-dealing and approval authority of the Board , a particular case was referred to the approval of the shareholders' meeting , most of them to take the regulatory rules of both procedural and substantive norms .
