Abstract


Besides pursuing the maximum interests of shareholders, Companies are also obligated to uphold and promote the interests of the community. That’s so-called corporate social responsibility. Corporate social responsibility is a hot issue that the operators, shareholders, all walks of life as well as company law scholars and legislators all over the world are concerned about. Seen from outside, no matter what theory or academic it is, such as management, business science, economics, social psychology, sociology and ethics, corporate social responsibility research is its hotspot. Seen from inside, the Company Law has always been the top issue of all the key points for Commercial Law and Private Law. The study of corporate social responsibility is not only to explain the principles of companies, but also a hotspot for private law philosophy. In addition, corporate social responsibility is a new topic that the traditional company law has to deal with during social practice.This article includes some researches and conclusions on the Ideology of Corporate Social Responsibility and problems appearing in some aspects related to social responsibilities of listed companies. And I do hope it can be a help to the fulfillment of social responsibilities of listed companies. Except the introduction and conclusion, this article is divided into three parts to discuss the issues I mentioned above. Part I in this article gives an overview of the historical development of Corporate Social Responsibility Ideology. Seen from its background and its main theories, Corporate Social Responsibility Ideology is an inevitable result of economic development. While companies are doing historic contributions to economic development, the theory circle has begun to rethink the negative effects of them. At the same timePart II analyses the legitimacy of Corporate Social Responsibility from the viewpoint of modern Corporate Social Responsibility Ideology, and meantime describes my understanding about this ideology. It’s mainly illustrated from three respects, namely, contractual nature, division of property and responsibility of companies. It also emphasizes that Corporate Social Responsibility Ideology has its own historical background, so the introduction of this legal system into China should be treated differently.Part III is the key of this article. It focuses on the existing problems of listed companies to fulfill their social responsibilities and the realization mechanism, and underlines the issues about the protection for listed companies’employees, consumers, creditors, the environment and public welfare, and also provides some improvements of mine.
