Abstract


Since the 1980s , influenced by the global economic integration , corporate governance issues began to be universal attention . Once typical and effective corporate governance model gradually expose its own shortcomings , so that people can not help but suspect , and the urgent need for reform of the corporate governance structure . With the continuous progress of the reform of China 's state-owned enterprises , China 's ongoing reform of the corporate system also exposed the problem . Corporate governance issues , as the core of the corporate reform is the key to the reform process . In this paper, the formation of the corporate governance model for clues , through the analysis of the background of this system to reveal the value of corporate governance in the company running the development process . In this paper, to the Anglo-American model of corporate governance and the German and Japanese corporate governance model for the study , analyzed the reasons for the formation of the governance model of the three companies in the United States , Germany , Japan and background , summed up this difference formation factors as well as on our ongoing the company made ??a reference to the reform . In addition , a comparative study of the advantages and disadvantages of the various corporate governance model , subsisting now academia convergence \Model of corporate governance is at present in China are different from these three governance model in corporate governance model of choice of where to go , I will focus on the problem . For our corporate governance structure , company executives excessive control rights , so that the situation \so as to put forward some proposals on corporate governance in China meaningful .
