Nearly half a century, restructuring has become the development trend of world steel industry. To resolve the domestic steel industry’s problems,domestic steel companies are also significantly accelerated restructuring. By restructuring, the combination of two iron and steel group will get a lower cost, more efficient and reasonable operating system, and reduce internal friction of resources, increase industrial concentration, and enhance the competitiveness of enterprises.Accordingly, from both of the theoretical and practical elements ,this article first explained the motivation of China’s iron and steel enterprise restructuring. In theory, used the view of economics and finance; in practical elements, selected a lot of practical motivation factors, such as the government factors、industry factors and their own factors.Seconded, it analyzed the trend of Chinese iron and steel enterprise restructuring, found that it is imperative; then described two different types of restructuring ,at last, based on the above,concluded the characteristics, evaluated the effect and pointed out the problems.Thirdly, by comparing the combination of Arcelor&Mittal and BaoGang&BaGang, from the background, process and financial evaluation, and by way of comparative analysis, from which to gain some experience, to guide China’s iron and steel corporate restructuring.Finally, in view of the current problem, respectively, for iron and steel enterprises themselves, the iron and steel industry and the government, we explained the countermeasures.
