Abstract


With the international economy and the rapid development of technology , technology has played an increasingly important role in the survival and development of enterprises . To obtain the technical capacity of enterprises for the purpose of mergers and acquisitions increased significantly , and is increasingly becoming an important means of enterprise development strategy . However, until now , both technical M \u0026 A theoretical study or analysis from an empirical point of view the technology acquisitions business performance and its impact factors are relatively rare in the field of technology M \u0026 A research urgently deep plowing . For technology acquisitions M \u0026 A mode and performance issues , articles merger-related theory to mergers and acquisitions and technology -based merger cases data of listed companies in China in recent years , technical analysis , technology acquisition model and technology M \u0026 A performance . First of all , from the technical capacity theory , summarized the definition of technology acquisitions ; combing the development context and stage of development of technology acquisitions . Second, technology acquisition model reconstruction for business development , technology and industry to consolidate , collect and analyze the case of technology mergers and acquisitions of listed companies in China in 2000-2004 . Again, in Shanghai and Shenzhen from 75 in 2000-2004 to technical merger cases the sample cut from the M \u0026 A mode the the observation main and changes in corporate performance . The study found that the main mode of different technology acquisitions and corporate performance , long term , the industry consolidate type technology M \u0026 A performance is better than business pioneering M \u0026 A performance . After the factor analysis found that the main and enterprise performance and technology M \u0026 A mode , and belong to the jurisdiction of the related party transactions , ownership concentration, the growth rate of total assets , the net cash flow of operating activities per share , the book market ratio and other factors significantly associated . The above studies , expand the M \u0026 A research horizons , rich enterprise technology M \u0026 A research , a reasonable choice for enterprise or building technology acquisition model , control technology M \u0026 A risk , enhance technology M \u0026 A performance , promote the healthy growth and optimization of enterprise resource allocation , with a more strong sense of reality .
