Abstract


The investment systerm in the founding of company includes currency investment and non-currency investment.The intangible assets investment by the shareholder is one form of the non-currency investment.It is also a important way for intangible property to make economy effects and capital operation.To resolve the legal issues about intangible property investment demandes the conformity of intangible assets right law systerm by company law systerm.Basing on the reality of economic life in China,this paper take a overlook on the intangible assets institutions and give a study on the legal issues of the intangible assets investment.The paper is divided into four chapters.Chapter 1 is an overview of intangible assets investment institutions.It at first introduces the Legislation and academic concept of the intangible assets at home and abroad,discusses the ideal fundament of intangible assets investment,elaborates the important effective dements of the shareholder’s investment of intangible assets,including that the body is of suitable standard,the sign is suitable,and the procedure is legitimate.It also elaborates the relative legal issues during the intangible assets investment activities,and explains intangible assets investment responsibility and risks.Chapter 2 is about the fundamental forms of intangible assets investment and legal issues and mainly analizes the ways the current laws and regulations allow to invest:the land employment right investment,the intellectual property rights investment,the stockholder’s rights investment and the creditor’s rights investment.Farthermore,the author proposes his own viewpoints at relative issues.Chapter 3 is about the prohibited form of intangible assets investment and the author’s ponder about this.It focuses on the credit,the reputation,the service,the franchise right beyond the scope of the "Company To register Act of administration".It explains the concepts and the characters of them,introduces the different statements of legislations and then proposed author’s own opinion in this foundation.
