Abstract

Electronic business and express are both emerging industries in China, and due to the rapid development of economic and the popularity of the internet, both of them develop coordinately. At this condition, the express service faces two aspects of pressure:on the one hand, electronic business enterprises enter the express market through merger and acquire for solving their own pressure of distribution; on the other hand, faced with the fierce competition of express market, the domestic express enterprises integrate resources through merger and acquire to protect their own development.Merger and acquire, an important operation mechanism for the combination of enterprises, means one enterprise absorbs one or more others, integrates production elements, and constantly adjusts production technology. In this way, the new enterprise can realize the resource optimal and the most reasonable configuration by integrating inner resources. Therefore, the merger and acquire among the express enterprises in the background of electronic business is spontaneous market behavior, and this behavior is a vital way to survival and develop in the fierce competition.To start with, for better study the merger and acquire of express in the background of electronic business, this article detailed introduces the relevant background knowledge. (1)The theory of enterprise merger motivation, and it contents two aspects----the efficiency motivation and the economic motivation. The efficiency motivation researches the improvement of enterprise efficiency after merger and acquire, in which the enterprises can integrate related resources and assets of enterprise through merger and acquire. The completion of the acquisition will make resources synergistic effects which can bring potential benefits to the enterprises. At the aspect of the economic motivation, the horizontal acquisition can realize economies of scale and enhance the enterprise market forces, and the vertical acquisition can reduce transaction costs and keep business environment stable. (2)The development condition of express industry, since the express in China develops rapidly, many problems merge, for example, the poor quality of service, fierce price competition, increasing complaint and effected by online shopping. At the same time, international express enterprises all seize market share through their own ability, which makes the domestic express enterprises face much pressure, even fails in the competition. (3) The relationship between electronic business and express. Electronic business contents four aspects----business, information, currency and logistics. Actually, the development of logistics restricts seriously the former, even becomes a big problem.What’s more, this article analyses the merger and acquire from two aspects. (1)The electronic business enterprises choose to merger the express enterprise for solving the logistics problems. The express service in the background of electronic business differs from that before, and the online shopping has new requires to the express service, for example, high efficiency, high quality, wide range and personalized. So many new problems merge, which contents lack of value-added service, information asymmetry between electronic business and express, the insoluble problems, which all damage consumers interest. Moreover, the vertical acquisition also need face currency and economic of scale problem. (2)Faced with fierce competition, the express enterprises choose horizontal acquisition to integrate resources. Since the express has significant scale economy, the merger and acquire can realize the coordinate effects on produce, manage and intangible assets, and the current policies also support acquisition. At the same time, we also notice that the join mode make the horizontal acquisition face dilemma.At last, this article concretely analyses two new mergers and acquire case to make itself more closely to reality and the structure more reasonable. (1)Taobao acquired Xichenjibian. This is a typical vertical acquisition of electronic business enterprise in order to overcome the difficulties of logistics. (2)Hna’s northern logistics acquired Tiantian. This is a typical large logistics enterprise merger the small express enterprise to realize the integration of resources and optimize the configuration through horizontal acquisition.
