Abstract


Company system continues to develop, so the acquisition of listed companies also experienced a system from scratch, evolving process . Acquisition of listed companies is the market economy develops to a certain stage of the product . Britain was the first to establish a national system of mandatory tender offer , in 1968 the \This article looks at mandatory offer to acquire the basic legal system and legislation and practice in our country , this paper first introduces the concept of mandatory tender offer system characteristics and development status ; secondly on the part of national and regional legislation on mandatory tender offer for the system introduction and exposition ; followed highlighted mandatory offer to acquire the basic content of the system , mainly from the acquisition of the subject , the occurrence of conditions , and other aspects of the legal effect of a comprehensive exposition ; Finally, the introduction of mandatory tender offer system legislation and practice , and to pointed out that one of the defects and deficiencies, put forward relevant suggestions for improvement .
