Abstract


With the "knowledge economy" coming,,intellectual property plays an important role in the competition between company. More and more companies are paying attention to intellectual property rights, researching, and using the strategy of intellectual property, particularly in the process of mergers and acquisition. Since IP is a competitive strategic weapons to win the competition, thus it’s very critical for the company to deal the intellectual property issues in M&A. Mergers and acquisitions generally involve intellectual property issues, intellectual property are "intangible assets", it is a different from the value of the tangible assets,which involves a series of practical problems,such as the investigation and evaluation of intellectual property rights.Intellectual property system in China started late, companies pay littleattention to intellectual property, the scientific system of intellectual property has not been fully established. Due to the neglect of the value of intangible assets, during the early stages of China’s foreign cooperation, the loss has reached hundreds of billions dollars.This article would like to help our companies on the development by researching the analysis and valuation and other aspects of intellectual property during mergers and acquisitions.Besides introduction and conclusion,the article is mainly composed of five chapters.Chapter 1 discusses the basic theory of mergers and acquisitions, the intellectual property issues involved in M&A, the importance and necessity of intellectual property to mergers and acquisitions.Chapter 2 discusses the topic of due diligence issues on IPs of target enterprises during pre-M&A.Chapter 3 discusses the impact factors of intellectual property valuation in M&A.Chapter 4 discusses principles and methods during assessing intellectual property in M&A.Chapter 5 discusses the current domestic problems in the due diligence process and value evaluation.How to improve IP system in M&A,the IP investigation system, the IP assessment system.
