Foreign Capital Merger and Acquisition (FCMA) is one important characteristic of economic globalization, and takes up larger proportion in international investment. Although to some extent FCMA does good to domestic comprehensive economic strength, it also can hurt the national economic security in some possible ways. Due to the close relationship between FCMA and economic security, most countries set up national economic security review system, which is still immature in China. The author tries to compare foreign and domestic legal systems of economic security from the influence of FCMA on China’s economy, to give some advices on national economic security system without hurting FCMA, as well as to explore the equilibrium between economic development and national economic security in the procedure of FCMA.The innovations of this thesis:1. After pointing out the problem in China’s law system of FCMA, provide alternative systems of some developed countries, including US, Canada, Japan, Britain and France, and then draw lessons from the view of comparison; 2. When providing suggestion on national economic security system, include author’s own advice on subject, object, standard, range and process of censorship.
