Abstract


Corporate governance has become a the worldwide research topic , the issue of corporate governance has also received widespread attention . With the growing emergence of economic development and equity ' corporate governance is increasingly becoming an important factor to measure a country's core competitiveness of enterprises . The corporate governance structure of the institutional arrangements made ??arrangements with the Western developed countries , the system is very similar from a formal point of view , but the treatment effect is very different . The reason mainly lies in our country in the process of looking for patterns of institutional arrangements for effective governance of the company , the choice of the appropriate path , that blindly follow the example of the Western developed countries, corporate governance practices , while ignoring our company which specific many problems of the environment and different from the foreign company itself , doing so results must be not \Arrangement exists in this article from the system of China 's listed companies to start , and make recommendations for improvement , to improve the corporate governance structure . The article reviews at home and abroad about the corporate governance structure , meaning and theory , three corporate governance structure and analysis of corporate governance status quo . Then the article the use of DEA analysis of the specific issues of the effectiveness of the governance of the 162 listed companies and our institutional arrangements Present Status of empirical research . The research results show that the effectiveness of corporate governance in our country is very poor , and institutional arrangements on the following problems : lack of board equity incentive , the size of the board is too large , the high proportion of paid supervisors , the shareholding ratio is too high , the proportion of tradable shares shortage. Provides a foundation to improve the corporate governance structure . Finally, the recommendations proposed to improve corporate governance structure , the article summary and outlook .
