Abstract


Throughout the world today , this main body of the company holds an important position in the market economy . Efficient and stable operation of the company is closely linked with the development of the market economy . Can not be ignored is the company deadlock has become common in the process of a limited liability company operating multiple phenomena . Company deadlock state , not only cause damage to the company and shareholders , but also the impact of the market economy , the harmony and stability of the social order . Shareholders due Co., specific institutional arrangements difficult to save themselves, but to take legal action to seek final relief . In other countries, the establishment and operation of the system of the dissolution of the corporation deadlock v. been a century of history . The dissolution of the corporation deadlock v. Modern Company Law common practice to become an integral part of an integral part of shareholder protection system .
