Abstract


Private Enterprise in Zhejiang province has gained remarkable achievements since the reform and opening up of the country.It makes tremendous contributions to the growth of Zhejiang’s economy.Capital operation is result of the development of the market economy to a certain degree.In order to get rapid and healthy development,to realize strategic leap within a short period of time,the capital operations is necessary within private enterprises.From the nineties of 20th century, the wave of Chinese enterprise capital operation is urging,all kinds of types are appearing one after another,stocking,stocking sharing, stocking controlling,shell lending,shell purchasing,company acquisition and merging and asset reorganization,etc.It’s quite common that capital operation is an important method of development and reform,also as an innovation of enterprise system.However,due to various reasons,the private enterprises have no sense of the importance of financial risk’s management.They lack of the necessary integrated competitiveness and their risks endurance is not strong.Therefore the enterprises tend to encounter all kinds of risks in the process of capital operation,and vulnerable to enterprise crisis.This paper first depicts the theories of capital operations and risk management systematically.Then starting from the present situation of enterprises,it analyzes the risks from the perspective of both macro and micro,including policies and regulations risks,social risks,economic risks and market risks as macro factors and investment risks, operational risks,technological innovation risk,and credit risk management risk as micro elements.On top of the theory of basis risk assessment,the paper describes a practical system to evaluate risk of capital operation in an enterprise.Finally,the article also sums up some effective risk prevention measures.
