Abstract


With the economical and corporation globalization, more and more multinational corporations are participating in cross-border integration. Multinational corporations integrate resources by means of worldwide strategic alliances, share, proprietary and Merger&Acquisition to enlarge their market shares, the fact of which has come to front of the world economy.Cross-border Merger and Acquisition theory consist of FDI theory and Merger&Acquisition theory. Traditional international direct investment theory and merge theory give many explanations to the reason and effect of transnational merger and acquisition, but lack systematicness to the research of integration. Cross-border Merger and Acquisition and Organization integration has been discussed based on Enterprise’s core competitiveness in this text.This text has investigated the current situation of present transnational merger and acquisition at first. On the basis of analyzing its background and characteristics, point out that it is under the pressure of global competition that enterprises carry on transnational merger and acquisition, through integrate domestic and foreign resources in order to promote enterprise’s competition advantage.Whether enterprise can realize value added value by Cross-border Merger and Acquisition? And what’s the inside principle? In addition through probe into the effect of transnational M&A and its reason, this text proposes that the defeat of integration is the main reason that transnational M&A fails exactly to draw.Then, this text has studied the relation of Cross-border Merger and Acquisition, integration and enterprise’s competitiveness. Through the analysis to competitiveness of integration, has set up a competitiveness model of M&A and the mechanism of earning profit has been analysed further.With argument from the viewpoint of the above, this text applies fuzzy mathematics theory to analyse the demonstration of Cross-border Merger and Acquisition’s resistance. In this case, this text thinks enterprises should integrate around the key competitiveness of enterprises while implementing Cross-border M&A, established the model of Organization integration which revolves the core ability.Finally, relate to the transnational M&A practice of our country, it analyzes the problems of integration work, and propose relevant countermeasures and suggestions.
