Abstract


The science and technology is the first productive forces. Under this kind of social history background, the high-tech doubles to the social economy development function is taken. Making best use of the high-tech have two extremely essential conditions, one is the massive technical innovation, the second is the technical innovation achievement can be smoothly transformed. The high-tech achievement investment is a kind of measure which can take full use of high-tech , therefore it is extremely significant that wereasearch the high-tech’s characteristic and the company capital system principle, and establish the legal rule in this foundation which the perfect high-tech achievement investment .In this thesis, the research of legal system of high-tech achievement investment is analyzed from these four parts:In the first part, this thesis analytics the meaning of high-tech and high-tech investment.high-tech is a kind of advanced technology which is stipulated by law. The high-tech achievement investment is a kind of legal act which is acted by shareholders who give there high-tech achievement to the company and receive thecompany stock in exchange.In the second part, through the comparison of legislation of U.S,German,Franch, Japan, Taiwan China and the author gets some enlightenment of our country, in perfecting our country’s legislation of the high-tech achievement investment to the company.In the third part, The stipulation of high-techachievement investment of our country carries on the real diagnosis inspection.In the fourth part, the author construct the stipulation to our country which the high-tech achievement investment buy stock to carry on certain suggestions again. When constructs "High-tech Achievement Investment Law" needs to persist the idea of property credit and efficiency, and fully respecting the litigant’s the meaning .
