Abstract


M&A is a very important economic activity in the modern economic society. It has already become one of the effective ways that the modern corporation exists and develops in the modern market economy. With the development of economic globalization of the world and our country having entered WTO, M&A activity of corporation in our country reaches an unprecedented high tide.M&A financing is very important in the process of corporation’s M&A. It decides the condition of the source of funds and the efficiency of the application of funds directly. M&A financing has a pivotal role to the corporation’s success or the corporation’s failure. Therefore, selecting the suitable ways of M&A financing and drawing the scientific strategy of M&A financing are the problems that the corporation concerns deeply. This text applies the method of comparative analysis, the method of qualitative analysis and quantitative analysis and the method of case analysis to study the corporation’s M&A financing.This text firstly summarizes M&A financing of corporation, mainly introduces related conceptions, theroies of M&A financing and the ways of M&A financing of corporation; Secondly, the text mainly analyzes the actualities of M&A financing of corporation in China; Thirdly, the text studies the strategy of M&A financing of corporation, mainly introduces the affected factors of the determination of M&A financing’s sum, the cost of M&A financing ways and the capital structure of M&A financing etc, and introduces the example of Lenovo Group merging IBM PC to analyze the financing strategy that it adopts in the process of M&A; Lastly, the text proposes the suggestions for the development of M&A financing of corporation in China. The author thinks that releasing finance controlling gradually, developing the agency institution strongly and enriching and consummating the ways of M&A financing etc. have very important significances for the development of M&A financing of corporation in China.
