Abstract
Until May 27, 2008, Chinese companies have completed a $31.1 billion international mergers and acquisitions, and trading volume is higher than all of 2007. Existing m&a research has focused on western countries and from the perspective of financial and economic analysis. Is the topic of this article discusses how to make Chinese enterprises can successfully complete the overseas mergers and acquisitions, and from the Angle of cross-cultural unique resolution is given. Mergers and high failure rate due to neglecting to mergers and acquisitions often the balance of soft and hard factors of management, so the author first puts forward the merger and acquisition success factors balance management, further analyzes the risk factors contribute to the success of Chinese enterprises overseas m&a, which highlighted the cultural risk. Existing m&a research from the perspective of technical, operational, financial analysis, this article highlights from cultural due diligence and before the m&a cultural integration after m&a plan to build a successful system model of overseas mergers and acquisitions. Cultural differences and cultural dimensions of merger integration method and the integrated performance influential. Empirical study on the impact of cultural conflict in international mergers and acquisitions have different opinions, the article gives a solution to contradiction in merger integration part of integration model. The model under different degree of cultural differences for the system research in the future of integration scheme provides the analysis framework.
