Abstract


In view of the problem that the serious irrationality of the structure of the shareholders causes it difficult to improve the management efficiency of the companies in the stock market, the paper considers that the functioning system of the mutual fund can be used to optimize the structure in the sphere of practice and laws, after analyzing its characteristics in capital operation of the mutual fund. This idea is influenced by some available thinking in economical scholars, but there is none of analysis and research of such a way of optimization in law study. Thus, I hope my paper can call more study in this aspect. The content of the paper is divided into three parts, which demonstrates the origination of the problem in the structure, the feasibility in manipulation and laws. The first chapter is named the structure of the companies in the stock market and circulation of the state-owned stocks (SOS). From the angle of the present situation of the SOS, it analyzes the relationship between the structure and the circulation, as well as put forward the assumption of optimizing the structure by exploiting the functioning system of the mutual fund after making a comparison of other ways of the circulation of the SOS. The second chapter is the analysis the manipulating feasibility of such a way of optimization. Linked to the characteristics of the mutual fund, it discusses the two spheres, the SOS circulation by it and what it can do in the structure optimization. The last chapter is to analyze the law feasibility of the way, that is, to probe into the present law support, developing condition and trend to prove its law feasibility. By studying the relating paper andcollecting a lot of data, I discuss the issue in two aspects-theory and practice and get the my opinion during dealing with and analyzing the information. I think the structure of the companies in the stock market should be a dynamical system, which should be adjusted to the rules of the market economy. Herein, we should take advantage of the capital operation of the mutual fund to shape an optimized structure of the shareholders.
