Abstract


With the continuous development of the socio-economic and the social division of labor continue to refine this governance model of the limited liability company is a growing tendency in the ownership and management are separated from each other, the resulting changes in shareholders less and less to participate in the company's day-to-day operations to go. Shareholders to participate in major business decisions largely depends on their understanding of the company, the shareholders of books right of access as a basic right of the shareholders, the shareholders can take to get the day-to-day operations of the company, in order to protect their legal rights and the exercise of oversight the rights of the Company. Therefore, the shareholders of books right of access to improve corporate governance in terms of great significance. On the books right of access to shareholders related to the theoretical basis of the study of general books Inspection Rights System discussed and put forward their own views and suggestions based on their own work practice Inspection Rights System in books on how to improve shareholder. On the basis of the obligation of confidentiality of Certified Public Accountants and the business scope of Certified Public Accountants as the leading agents to inspect the system. In addition, the chapter also discusses the problem of Shares entitling the books of the company the right to access and explore the idea of ??expanding to inspect the books and improve the accounting regulations system, from the point of view of financial accounting and financial oversight.
