Abstract


Although different countries have different cultural backgrounds and ethics , but share the same philosophy and values ??in the implementation of corporate social responsibility . In China, the company 's social responsibility theory put forward the basic principles of civil law embodied in the Companies Act , the Civil Code amendment of the value of the value of commercial law . Compatible color theory of corporate social responsibility with its public and private law , civil and commercial law and economic law can reflect in safeguarding the interests of the company and to promote the company smoothly , complementary role in the healthy growth of a unique value . The interests of the protection of the creditors of the company is a mandatory liability , corporate social responsibility in the current company law has been designed but not perfect . The topics are intended to improve the analysis of the interests of the protection of the creditors of the company from the perspective of corporate social responsibility in the institutional . The traditional company law concept of profit- oriented company , the interests of the shareholders as the most important thing , which is formed in the period of laissez-faire capitalism under the influence of classical economics . The concept of this company for-profit and shareholders' interests decided to institutional arrangements tend to protect the interests of the shareholders of the Company Law . However, with the confirmation of the Companies Act balance the interests of ideas generated and corporate social responsibility , the perfection of the system of protection of the interests of the creditors of the company is particularly important , this study suggests that in addition to improving the liquidation of the company system , company information disclosure system should also identify the company ultra vires invalid or relatively ineffective system , improve the regulatory regime of the bonds , the effective implementation of Piercing the Corporate establish the system of corporate restructuring and the implementation of the company 's liquidation the fraudulent transactions responsibility chase correction system .
