Abstract


Towards integration in the global economy today, China's enterprises are facing pressure from both international and domestic competition. In this case, the common form of the operation and enterprise mergers and acquisitions as a corporate restructuring effective way to achieve leapfrog development, become the choice of many businesses to achieve their own rapid development. However, the data indicate that the increasing number of mergers and acquisitions, but the success rate is very low. How to improve the success rate of mergers and acquisitions to become a important subject to be studied. This paper argues that the M \u0026 A business is not a core competitiveness oriented to the M \u0026 A strategic choice errors lead to mergers and acquisitions fail. Based of business development, mergers and acquisitions should be based on the core competitiveness of enterprises, and to enhance the core competitiveness of enterprises as the ultimate goal. Integrated acquisition theory and the theory of core competitiveness, and to explore the relationship between M \u0026 A theory and core competence theory, interactive relationship between M \u0026 A activity and core competitiveness, and that the lack of development of the required core competition The fundamental purpose of pursuing revenue maximization will procure core competitive force, can be achieved through the acquisition of behavior from the target enterprises transferred to the enterprise, to build the core competitiveness of enterprises; companies have ownership of a core competitiveness enable enterprises to gain greater economic benefits from the enterprise to expand the target company to play the role of the core competitiveness, greater range so that the core competitiveness through mergers and acquisitions behavior.
