20 years of SOE reform process of institutional change is a gradual recognition of operational autonomy of state-owned enterprises , and gradually shrink the mandatory process of executive power , but also the principal - agent relationship formation process. However, the state-owned enterprises commission - agent relationship because of its unique historical background and Western delegate - agent theory have great differences . SOE reform has entered a crucial stage , commission - agent system efficiency, and improve the efficiency of state-owned enterprises is essential. In fact, 20 years of Chinese state-owned enterprise reform , it revolves around solving commission - agent system efficiency while deepening commenced purpose of the reform is based on the market economy requires the introduction of competition and incentives to reshape owned Enterprise - agent system , in order to change the planned economic system lacks efficiency. But so far, this problem has not been effectively addressed , or that , in the new economic environment has produced a new problem: agents maximize their own utility chase varying degrees of departure from the delegator interests. The fundamental reason is that the principal stakeholders is not clear , the client itself is also a lack of effective incentive and restraint mechanisms . This paper describes the Western delegate - agent theory institutional models and different times of the economists on the commission - made a profound analysis of agency theory . Integrated application of economics and management theory and methods , and to draw the West in the full commission - agent theory based on the combination of the status of state-owned enterprises reform and socialist economic characteristics of the structure of the principal scientific and effective incentive and constraint mechanism to establish a preliminary study .
