Abstract


The system of the employee stock ownership (or be said Employee Stock Option Plan, ESOP) is a kind of system which means that part of the company’s shares is held by its employees, by which the employees take part in managing the enterprise, monitoring the enterprise and sharing the profit of the enterprise. It took a kind of new property right organization form, has initiated a new revolution in the income distribution sphere. As we know, the economic assignment is an important attribute which can initiate the economical mechanism adjustment, and ESOP adapted the request of the productive forces development. As a result, it can adjust all parts economic relations in the enterprise, enable them to obtain more realizations under the limited condition, and enable the enterprise to obtain the good development.The theory and practice of Employee Stock Ownership plan originated from Western countries. In 1950s,the United States tried out the employee stock ownership plan. after that,some other countries observed the priorities of this kind of plan and began to learn an imitate. ESOP in our country arises along with the reform of the company, it shows strong vitality in the reform of enterprises system during transform of our country’s economy. The western fundamental research has the certain model and the enlightenment function. But the practice and the theory exploration of domestic is nearly the synchronization parallel, the practice is before slightly the theory. In our country’s practice, because our country’s ESOP is late, the necessary measure is imperfect, and it have many problems in the practice operation, the overseas experience all has to our country’s system design as well as the concrete operation the strong model function.
