Abstract


Enterprise Group is in the production of highly social and commodity economy made ??significant progress on the basis of the concentration of production and capital gathered manifestation of one . Enterprise groups is based on the full development of the modern enterprise , as the main core businesses through property relations links ties to many corporate enterprises formed into an economic union . Enterprise group established to take advantage of the market and the organization of two ways to coordinate the relationship between enterprises , enterprise organization and market mechanisms complement each other , so as to improve their overall function . However , in a parent-subsidiary relationship system , the subsidiary in the law is the enterprise legal equality with the parent company , the parent company on many issues and can not directly intervene in the affairs management subsidiary , subsidiary businesses are relatively independent . As the principal - agent problem in modern companies as a relatively independent relationship between the parent and subsidiary companies act do not follow the intent of the parent company , or even produce against the behavior of the parent company will inevitably lead to a subsidiary . In order to prevent the subsidiary of abuse of resources , and to enhance its line with the overall objectives of the Group , the appropriate control mechanisms in order to increase the overall performance should be adopted by the subsidiaries .
