Abstract


Since the 1990s , continues to expand the scale of China 's utilization of foreign investment (FDI) , FDI has played a very important role in the continued growth of the domestic economy . Especially in recent years , mergers and acquisitions to become a major form of global FDI accounted for 80% of global capital flows , international capital flows as mergers and acquisitions . However , cross-border mergers and acquisitions in China, the proportion of the amount of capital flows was only 5-6 % . With the growing scale of China's utilization of foreign investment , China's total foreign investment in the form of mergers and acquisitions will also increase rapidly. At the same time , multinational companies to quickly occupied the local market and competitive advantage in your industry , the most effective way is to mergers and acquisitions. On the other hand , China 's increasingly open capital markets , further increase efforts to the development of cross-border mergers and acquisitions . Therefore, China will usher in a period of rapid growth of foreign mergers and acquisitions . How to deal with the upcoming wave of cross-border mergers and acquisitions , and how to make better use of cross-border mergers and acquisitions in the form of foreign investment , which we must face and solve the problem . So we need to carefully examine the development trend of cross-border mergers and acquisitions , and to explore the basic law of the cross-border mergers and acquisitions in order to effectively improve the quality and efficiency of China 's utilization of foreign capital . This paper is divided into five chapters , the first chapter introduces the basic theory of cross-border mergers and acquisitions , including the characteristics of the cross-border mergers and acquisitions , the type of motivation , as well as mergers and acquisitions investment and greenfield investments distinction ; second chapter worldwide cross-border M \u0026 As in the regional and industry level the status and trends ; Chapter from the characteristics and trend of mergers and acquisitions , to introduce the development of cross-border mergers and acquisitions in China ; fourth chapter analyzes the impact of cross-border mergers and acquisitions in China's development problems , and these problems in-depth analysis, examining the impact of cross-border mergers and acquisitions of Chinese economy ; chapter studies based on the fifth chapter proposes policy recommendations to deal with cross-border mergers and acquisitions in China .
