Abstract


In order to build a faster and more direct financing channels , to participate in international competition and exchange , more and more Chinese mainland enterprises listed overseas , with the attendant also brings a lot of legal issues . Therefore , the legal issues on China 's mainland enterprises listed overseas study undoubtedly has important practical significance . This article discussed legal issues on China 's mainland enterprises listed overseas . The paper first elaborated the meaning , advantages and basic procedures of overseas listing , and then discusses the conditions , the form , the basic program and the advantages and disadvantages of direct overseas listing and indirect listing . On this basis , focusing on the mode of operation of the overseas -made shell listed . After , the introduction of the law on enterprises listed overseas . China 's mainland enterprises listed overseas to Hong Kong, the United States and Singapore , the paper listing requirements in respect of these three countries or regions were introduced, and analysis of the legal issues of China 's mainland enterprises should pay attention to the three listed . The paper also applicable to solve legal disputes in China 's mainland enterprises listed overseas issues , regulatory issues inside and outside the company , class action , the issue of information disclosure , and Return of investment issues specifically explore the analysis . The paper concluded that overseas listing is an inevitable choice for enterprises to participate in market activities , the government should actively guide the rational norms , enterprises should abide by the law , and improve the corporate governance structure . The only way to get healthy and stable development of the international capital market .
