Abstract


This paper uses comparative analysis methods such as analysis of the theoretical basis for the coexistence of the independent director system in China and the board of supervisors system basis in reality , the basis of the legal system , and thus confirmed our Supervisory Board and the independent directors can co-exist , coordination play a role . In the actual operation of supervisory system and the system of independent directors in the functional design and there is a conflict on the actual role , functions overlap. This article on how to coordinate the system of independent directors and board of supervisors system to better play its role , its analysis of the problems in the system functional design and the actual running . Give full play to the reasonable design of the functions carried out by the independent directors and the board of supervisors after the oversight function of the board of supervisors , the recurrent external characteristics and the oversight functions of the independent directors in advance , non-recurring , internal characteristics . Combined with the concrete reality of corporate governance , and provide a clear legal guarantee to play the role of independent director system and Supervisory Committee , to establish a coordinated mechanism and incentive and restraint mechanisms . And ensure the independence of the independent directors to play the role and oversight functions of the Board of Supervisors to achieve . Supervision so as to achieve the internal business decision-making and improve the level of scientific decision-making of the Board , to keep managers in check , to protect the interests of small shareholders .
