Abstract


China’s capital market has undergone a gradual evolvement along with the reforming process of the country’s economic structure. We have all witnessed the achievements made in its rapid development in recent years.But since 2002, due to the decreasing of financing ability, the Chinese stock market can’t all-right display the rapid development of Chinese economy. All investors can’t protect their legal rights and interests. Needs for multi-layered enterprises financing can’t be fully afforded.The United State of America is one of the countries whose capital markets have been perfectly developed. From the view of the world, comparing from the market development history, the state location and the volume of population, the American capital market has more contrast and analysis value. The paper therefore focuses on the development process, the actual structure and scale of American multi-layered markets of stock, bond and investment fund. The paper also contrastively analyses the current situation and problems of China’s capital market.Due to the poor coordination in initial reforms and limitations in its system design, however, China’s capital market still suffers from some serious defects in its system structure. It’s the un-proper distribution and function orientation of the capital market, single-layered system structure and market structure with administration restriction, that hamper the effective functioning of capital market.It is now an urgent priority for China’s capital market to foster a sophisticated market structure. With the existing single-layered system structure, the paper therefore focuses on how to develop multi-layered markets of stock, bond and stock investment fund, to realize the transition of a multi-layered capital market structure with Chinese characteristics.
