Abstract


On August 27th 2006 promulgated by the partnership law of the People’s Republic of China (hereinafter referred to as the partnership enterprise law than in 1997) the partnership law changes a lot. Add the special ordinary partnership and limited partnership two partnership type. But in reality investigation found that these two kinds of partnership types in the lack of system not only violated the our country the partnership enterprise law set the two types of value original intention, also directly limit our partnership enterprise’s development. This article mainly focuses on China’s partnership type of situation analysis, summarizes limited partnership, special ordinary partnership two legal system, distinguish the advantages and disadvantages of the limited partnership with special general partnership, distinguish limited partnership and a limited liability company. Combined with advanced foreign legislation, have the option of foreign partnership enterprise law system of legal theory, legislation and judicial application practice such experience, tries to find explores our country partnership types of survival and development way.
