Abstract


Through reviewing the systems of paying by installments, by means of norm analysis, comparative research and so on, this article mainly discusses and studies on the five aspects based on the theory and practice: (1)Scope of application; (2) Publication system; (3) Definition of the stock rights; (4) Call system (5) Responsibility system; Furthermore, this article raises suggestions to the systems of paying by installments under the Company Law in China. This essay is composed of three parts.Charter One illustrates the concept and significance of the systems of paying by installments, and analyzes the relationship between the systems of paying by installments and the system of formation of the capital. By describing the systems of paying by installments in PRC, pointing out potential problems in current legal systems.Charter Two introduces and compares the systems of paying by installments in German, State of Delaware and Hong Kong. Topics cover scope of application, publication system, definition of the stock rights, call system, responsibility system about it.Charter Three is the mainly part of the essay. Recommendations of the systems of paying by installments which include the five problems in the first paragraph explained.
