Abstract

The existence of state-owned enterprises in various social nature of the country, therefore, the governance of state-owned enterprises is a common issue faced by countries with different social nature. In China has a very close relationship between the state-owned enterprises and financial, therefore, the state-owned enterprise governance strategy itself constitutes an important financial issues; starting from a state-owned enterprise governance strategy, may deepen to finance a series of important theoretical and practical issues an important path. This paper not been able to establish a theoretical framework for the governance of state-owned enterprises, but rather problem-oriented analysis, that explore around the governance strategy of China's state-owned enterprises in the most prominent and the most urgent need to address the issue. This thesis is mainly related to the corporate governance structure of international comparisons of the governance of state-owned enterprises, state-owned enterprises, state-owned enterprise managers incentives, supervision and restriction mechanism of state-owned enterprises, state-owned enterprises insiders control. These five aspects are difficult unified classification standard arrangement, therefore, the papers are arranged according to the degree of importance of the problem. The first chapter is the Introduction, the theoretical basis of this paper. This chapter strict definition of state-owned enterprises, and corporate governance topics, a brief review of the theoretical literature on corporate governance Overview of thesis research methods and architecture. The second chapter began to expand the problem-oriented visits. This chapter introduces the world's most representative government regulation of state-owned assets of the four modes, and a number of state-owned enterprises with a typical sense governance cases, summarize the the seven successful experience of the market economy countries, the administration of state-owned enterprises. Chapter from the Government Governance corporate governance structure of state-owned enterprises to market-based governance process of historical change in the inspection and analysis of the problems and the reasons of the corporate governance structure of state-owned enterprises, and put forward the goal of establishing a market-oriented corporate governance structure and ideas. The fourth chapter explores the incentives of managers of state-owned enterprises. Analysis to proceed, managers of state-owned enterprises remuneration system design, the design of the stock option system, reputation incentive to inspect this chapter, the general theory of motivation from the manager, and proposed ideas and countermeasures. Chapter V on the basis of analysis of the basic content of the corporate enterprises supervision and restraint mechanisms, analysis commonalities and differences of the supervision and restriction mechanism of state-owned enterprises and private enterprises, pointed out the defects of supervision and restriction mechanism of state-owned enterprises, improve the state-owned some countermeasures enterprise supervision and restraint mechanisms. Chapter VI around the internal control problems, and its manifestations, causes harm comprehensive analysis, general precautionary measures and special precautions for different state-owned enterprises.
