Abstract


This paper analyzes the current foreign mergers and acquisitions of new trends, presented to national security concerns . National security review system of the legislative provisions . About the progress of our national security review system and shortcomings , combined with Canada and other countries face the same problems of processing methods, explore able to learn from the advanced experience that I finally put forward a comprehensive national security review system of the proposal , this thesis is divided into four chapters. The first chapter written under the age of globalization , foreign mergers and acquisitions of Chinese enterprises , new trends in the presence of this new trends threaten our national security risks. The second chapter describes the national security review of the relevant legislation. Detailed description of the administrative regulations, departmental rules and regulations , administrative guidance and other requirements of the national security review . It can be seen on the national security review of the provisions of the general trend from the initial clear from the vague to the specific , with a certain practical operability , but also made inadequate. The third chapter is divided into four parts, the first part is presented to the national security review and the need to distinguish between antitrust review . The second part is the antitrust and national security for a brief introduction , in which the definition of the two , citing the view of some scholars , and then analyze them draw their own emphases. The third part compares the specific difference between the two , the main purpose is to examine the contents of two aspects of the analysis . The fourth part of the simple analysis of the link between the two . Chapter concise introduction to the USA and Canada and other Western countries on the national security review legislation and institutional arrangements, through their similar approach to the issue of providing some reference. But also on improving our national security review made ??a number of recommendations.
