Abstract


In recent years, the share of foreign mergers and acquisitions of the territory of China is growing , more widely involved in the field , China's rapid economic development has played a positive role , but the behavior of foreign mergers and acquisitions bring a lot of money , technical experience and advanced management methods at the same time , without reasonable and effective control , will produce many negative effects , such as loss of state assets , to monopolize the control of foreign - funded enterprises on the core technology of suppression of industrial technology innovation , due to national security issues are gradually aroused widespread concern . In 2008, China 's anti-monopoly law, \, \the system and relevant legislation to improve and supplement the need to solve the current problem . Text section of this article intends to propose a solution to the above questions by chapters : the first chapter focuses on the national security review of the basic theory , another on the basis of a review of foreign mergers and acquisitions in the course of development and new trends , analysis of foreign mergers and acquisitions of national security implications and reveal the relationship between the two , the need to improve our national security review system for foreign mergers and acquisitions . The second chapter details the mechanism of national security review of foreign mergers and acquisitions and related legislation , its main content and system characteristics, and the Enlightenment to China from the perspective of substantive and procedural analysis . Chapter III , the first of China's current foreign mergers and acquisitions of national security review system summary analysis of its shortcomings , reveals the plight of the defects of our legislation and judicial practice ; and then learn from the experience of the United States , from the legislative model , legal entities and the contents of the program aspects of recommendations to improve our legislation .
