Abstract


With the sustained development of Chinese economy, the increased number of projects with investment value, the urgent need to adjust the industrial structure,and many other factors result in both foreign and local private equity fund pay more and more attention on the Chinese market. Therefore according to the trench, China has entered the era of private equity fund. Private equity fund as a special kind of financial instruments, is flexible in operation and adaptable in resolving difficult questions of corporate finance, which also can improve the corporate governance structure, promote China’s industrial restructuring, and promote multi-level capital market system. A perfect exit mechanism of private equity fund becomes the key that investment return can be got successfully. Retreat systems of the Private equity fund in China still have a lot of problems that can not being ignored.Lack of smooth retreat channel of the Private equity fund has becoming bottleneck that restrains development of the Private equity fund. But very unfortunately, there are many unforgivable flaws in our country’s private equity funds exit mechanism. When the exit of private equity fund, the form of IPO or share sold or bankruptcy liquidation, there are many restriction in law. China still did not established true multi-layer capital market, Though the second-board Market has already set out, the bound regulations are not perfect, the third-Board Market and Equity Exchange market functions limited and could not support multi-choices for the item investigated by private equity fund. What is more, private equity fund further development lack enough policy support. The above elements deeply block the exit of private equity funds, Therefore, it is imperative that developed the Private equity fund to solve the problem. The thesis analyze exit mechanism of Private equity fund in U.S and its related experiences. with reference to the situation of exit mechanism of the Private equity fund in China, the thesis comes to the conclusion that China will form a perfect exit mechanism by building law system, multi-layer capital market,perfecting the related policies.
