With the issue of business ethics, corporate social responsibility, environmental protection, the interests of small shareholders, the importance of stakeholders must pay more attention. More and more scholars began to study the theory of stakeholders. In the past few decades, "Who is the stakeholder?", "How to distinguish the characteristics of various stakeholders? ", "Should the stakeholders participate in the company’s management? " are discussed intensely.However, at a given time the company’s total economy is fixed. Any one stakeholder has his own interest and other stakeholders will have many conflicts of interests, so the non-cooperative behaviors are emerging. At last, these behaviors will impact the corporate governance.Therefore, the purpose of this paper is that solving the non-cooperative behaviors and helping the company reach its own value. So the paper contained three parts. Firstly, by analyzing the relationship of the stakeholders, the financial behaviors and the corporate governance, we found that co-governance-based, camera control, supplemented by dynamic coupling mechanism is in line with the requirement of the corporate governance. Secondly, using the methods of the game theory. I designed the mechanism to remedy the contradictions causing by the stakeholders’ non-cooperative behaviors. Finally, by the case-Jiangxi Sanji Technology Co..Ltd disusing got the last result.
