Abstract


Since the TCL Group achieved the overall listing purpose by absorbing convertible share of TCL Communication, there were many attentions by Academia and Practitioners to overall listing .It is an important and necessary task to sort out the theory of overall listing, as well as evaluation the overall listing of Chinese enterprises in recent years. As the dominant position of Chinese capital market, this article will focus on the issue of overall listing of state-owned enterprises.First, this paper defines the concept of the overall listing, analysis the merits of the overall listing and elaborate Theory of Firm Boundaries and the acquisition theory. Meanwhile, this paper showes the specialist of state-owned enterprises after the work of the internal study. Second, we review the overall state-owned enterprises listed on China’s current situation, combined with three typical cases, as TCL Group, Wuhan Steel shares, Panzhihua Steel .we analysis their overall listing process, model, the impact and problems. Finally, we creat a whole listing of effect evaluation index system by using principal component analysis and study 29 state-owned enterprises, and draw the relevant conclusions.
