Abstract


Through our private equity limited partnership development status of research , this paper considers the growth stage of China's private equity fund institutional environment needs to be improved . China has not yet specifically for the private equity fund 's legal system , in the limited partnership private equity funds is a blank , a lot of institutional structures and other issues , you can not maximize the optimization of capital structure , a waste of capital market resources. How to create and promote a comprehensive system enabling the development of private equity funds vital Based on our limited partnership private equity fund analysis , reasonable draws the developed system and measures on China's private equity limited partnership legislation put forward their own proposals with a view of the legislative institutional private equity funds have contributed . Text of this paper consists of three parts . The first chapter, through the private equity fund market access rules analysis, we believe that our system is not perfect qualified investors , hindered the development of private equity funds ; other hand, the capital of the access system shall also studied. The second chapter, by private equity fund limited partnership organizational structure analysis , this paper argues \Partnership Enterprise Law \Article focused on the private equity fund of general partners and limited partners relationships proposed should balance the rights and obligations of both to make it more equitable distribution of responsibilities perspective , and through domestic and international \practice in China , putting forward their own proposals . The third chapter, on China's private equity limited partnership 's legal system environment for analysis. Because of the limited partnership private equity fund in practice face many legal obstacles , therefore, how to improve the relevant legal system is to promote local private equity fund limited partnership the key to development . Mainly on the credit system , the tax system , exit mechanisms and administrative and market relations and other aspects of the corresponding legal suggestions for improvement .
