Abstract


Third Market as a national over-the-counter market, shouldering the the dual heavy responsibility to improve our multi-level capital market system and support the development of high-tech enterprises, and promote China's economic structural adjustment. The Third Market listed companies is the cornerstone of the capital markets, the establishment and improvement of the information disclosure system of the good development of the market plays an important role. At present, China's three board listed company information disclosure system exists to lack of regulations system, low level of regulatory disclosure unreasonable and many other loopholes, restricted the pace of development in the Third Market. Is urgently necessary to establish the characteristics of the market for three board information disclosure system to adapt to the development. In-depth analysis of the problems of China's three board market existing information disclosure system, the effects of the legislative practice of the United States, Japan and our Taiwan region three board market information disclosure, by means of comparative law research methods, combined with the above-mentioned countries and regions science of legislative practice and state-of-the-art legislative concept put forward a number of recommendations to improve the three board listed company information disclosure system. This article is divided into introduction, body and conclusion. Introduction to the background, the practical significance of the topics and papers innovative and limitations. The text is divided into three chapters. The first chapter is divided into two parts. The first part introduces the history of the Third Market in China, the development status and the leading of the China Securities Regulatory Commission, the Third Market will be the development of China's reunification under the supervision of the national OTC market prospects. The second section describes the current information disclosure system of China's Third Market listed companies and existing problems. The second chapter is divided into three parts. The second part discusses the Japan JASDAQ market information disclosure advanced ideas and innovations. The third part focuses on the the Taiwan Emerging Market market maker information disclosure requirements.
