Abstract


One-member company’s own advantage, for the individual investor has a strong appeal, so as China’s rapid economic development, various types of one-member company to begin mass appeared widely in everyday economic life. However, the practice in recent years, people saw a man in the company’s social and economic development played an important role, but also fully aware of its shortcomings.One-member company’s largest shareholder is its only one, this feature also makes it relative to the general limited liability company is more vulnerable to abuse of the independent shareholders of personality and limited liability shareholders of the phenomenon, so in order to protect the interests of creditors and the public Interest, the use of its legal personality denial system to regulate it is very necessary.Paper is divided into five parts, the first part is an introduction, the second part is the one person company and the disregard of corporate personality system of the basic theory are discussed, and the third part is an system in disregard of corporate personality in the applicable one-man company Analysis of specific problems, the fourth part of the our new "Company Law" corporate personality of a person denied the relevant provisions of the system, and our disregard of corporate personality of a person Perfection made some suggestions, the fifth part is the conclusion.
